Welcome to Digitizing Logo. These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "client"), and Digitizing Logo ("Company," "we," "us," or "our"). This document outlines the exhaustive rules, operational responsibilities, service delivery policies, payment frameworks, intellectual property guidelines, and website usage requirements governing your engagement with our embroidery digitizing, vector art, custom design, and digital asset services.

1. Introduction & Acceptance of Terms

These Terms & Conditions govern your access to and use of the Digitizing Logo website, platform, associated applications, products, digital downloads, custom embroidery digitizing services, vector art tracing, design conversion services, and any related communications or transactions with our company.

By accessing our website, creating an account, submitting artwork, requesting a quotation, remitting payment, downloading files, or utilizing any Service provided by Digitizing Logo, you explicitly agree to be bound by these Terms & Conditions, as well as our Privacy Policy.

If you do not agree with any part of these terms, or if you do not have the legal authority to bind your organization to these terms, you are strictly prohibited from using our website, purchasing our products, or requesting services.

2. Comprehensive Definitions

For the purposes of absolute clarity within this legal agreement, the following terms are defined as follows:

  • “Company,” “we,” White,” or “our” refers specifically to Digitizing Logo, its parent entities, subsidiaries, officers, and authorized employees.
  • “Website” or "Platform" refers to the Digitizing Logo website, client portals, and all related web pages and subdomains.
  • “Services” encompasses embroidery digitizing, vector art creation, custom design conversions, color separations, digitizing consultation, and any related digital work.
  • “Client,” “Customer,” “You,” or “Your” refers to any individual, business, corporation, or entity engaging with our platform or purchasing our Services.
  • “Source Artwork” refers to any logo, image, sketch, photograph, graphic, or digital file submitted by the Client as reference material.
  • “Deliverable” or “Digitized File” refers to the final output provided by Digitizing Logo, including but not limited to DST, PES, EXP, JEF, VP3, HUS, AI, EPS, SVG, or PDF formats.
  • “Revision” refers to modifications, adjustments, or corrections made to a Deliverable after its initial presentation to the Client.

3. Account Registration & Security

3.1 Account Creation

To access certain features, submit bulk orders, or track history, you may be required to register for an account. You agree to provide true, accurate, current, and complete information during the registration process.

3.2 Account Confidentiality

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. Digitizing Logo assumes no liability for any loss or damage arising from your failure to protect your login information. You agree to notify us immediately of any unauthorized access to your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account, at our sole discretion and without prior notice, if we suspect fraudulent activity, breach of these Terms, or any behavior that is detrimental to our business or other users.

4. Website Usage & Acceptable Use Policy

4.1 Permitted Use

You are granted a limited, non-exclusive, and revocable license to access and use the Digitizing Logo website strictly for business or personal use related to procuring our Services.

4.2 Prohibited Activities

Under no circumstances are you permitted to:

  • Engage in systematic retrieval of data or content from the website to create a database or directory without written permission.
  • Bypass, disable, or otherwise interfere with security-related features of the platform.
  • Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, malware, or other material that interferes with the site's functioning.
  • Use false identities, impersonate another user, or use fraudulent payment methods.
  • Scrape, duplicate, copy, or resell the website's content, layout, designs, or proprietary information.
  • Submit illicit, hateful, defamatory, or strictly prohibited adult content for digitizing or vectoring.

5. Scope of Services

Digitizing Logo specializes in the digital transformation of visual assets for production purposes.

5.1 Embroidery Digitizing

We manually or semi-automatically translate your Source Artwork into machine-readable embroidery files. This process involves plotting stitch types, densities, underlays, and sequencing to ensure optimal physical production on fabrics. We cater to standard logos, 3D puff designs, appliqué, left chest, full back, and hat profiles.

5.2 Vector Art Conversion

We provide manual vector tracing services to convert raster graphics (JPEG, PNG, Bitmap) or low-resolution images into infinitely scalable vector formats suitable for screen printing, digital printing, vinyl cutting, and promotional merchandise production.

5.3 Limitations of Scope

Our service is strictly digital. We do not provide physical embroidered garments, printed materials, patches, or physical shipping unless a specific, separate physical production contract is executed.

6. Quotations, Ordering & Specifications

6.1 Quotation Accuracy

Quotations provided by Digitizing Logo are based entirely on the visual complexity of the Source Artwork and the specific dimensions requested by the Client. Quotations are valid for 30 days. We reserve the right to revise a quote if the Client changes the design scope, dimensions, or application type after the initial estimate.

6.2 Order Placement Responsibilities

When placing an order, the Client assumes full responsibility for providing accurate and exhaustive details. This includes specifying the exact dimensions (width/height), target fabric type (e.g., pique polo, denim, fleece, caps), target machine format, and any special instructions (e.g., 3D puff, color blending, text omission).

6.3 Missing Information

If crucial information is omitted from the order brief, Digitizing Logo will proceed using standard industry defaults (e.g., standard flat embroidery, DST format, standard left-chest sizing). We are not liable for production issues arising from unspecified requirements.

7. Pricing, Billing & Payment Terms

7.1 Fee Structure

Prices are determined either by flat-rate tiers, stitch count estimates, or custom complexity evaluations. All prices are listed and billed in United States Dollars (USD) unless otherwise explicitly stated.

7.2 Payment Gateways

We accept major credit cards, PayPal, Stripe, and other secure digital payment methods integrated into our platform. You represent and warrant that you have the legal right to use any payment method provided.

7.3 Invoicing & Late Payments

For clients on approved net-terms or monthly billing cycles, invoices must be paid within the agreed timeframe. Digitizing Logo reserves the right to suspend ongoing work, withhold Deliverables, or apply a late fee of 1.5% per month on overdue balances.

Digitizing Logo staff will never solicit your full credit card number or bank passwords via telephone or email. All transactions must occur through our encrypted online checkout.

8. Turnaround Times & Delivery

8.1 Standard Turnaround

Our standard processing time for standard-complexity digitizing and vector orders is typically 12 to 24 business hours. This timeframe commences only when all order details are clear, artwork is received, and payment (if applicable) is secured.

8.2 Rush Services

Expedited or "Rush" services (e.g., 2 to 6 hours) may be available subject to operational capacity. Rush orders may incur a premium surcharge. While we prioritize these orders, extreme design complexity may naturally extend processing times.

8.3 Delivery Method & File Retention

Deliverables are securely transmitted via email, downloadable portal links, or your client dashboard. Digitizing Logo maintains a backup of client files for exactly 90 days post-delivery. After 90 days, we are under no obligation to retain or recover archived files. Clients are strongly advised to secure local backups of all Deliverables.

9. Revision & Modification Policy

9.1 Free Edits

Digitizing Logo offers a generous revision policy to ensure satisfaction. Free revisions cover minor adjustments, including: slight density changes, minor resizing (up to 10-15% of the original size), thread color re-sequencing, and compensation for minor registration issues (push/pull).

9.2 Paid Modifications

Revisions are considered "Major Modifications" and will be billed as a new order or an edit fee if the Client requests: significant size changes (which require a complete re-digitization of underlays and stitch types), inclusion of new artwork elements not present in the original order, changing a flat design to 3D puff, or changing the target garment to a drastically different fabric type requiring a full structural overhaul.

9.3 Time Limit on Revisions

Requests for free revisions must be submitted within 30 days of the original delivery date. Requests made after this window may be treated as new orders.

10. Physical Production & Quality Disclaimer

10.1 Digital vs. Physical Variances

Digitizing Logo delivers digital blueprints optimized for physical production. However, embroidery is a mechanical and physical process heavily influenced by external variables entirely out of our control.

10.2 Client Pre-Production Testing

Mandatory Requirement: The Client assumes total responsibility for performing a "sew-out" or test stitch on scrap fabric (matching the target material) prior to running the Deliverable on final, expensive, or bulk garments.

10.3 Exclusion of Liability for Garment Damage

Digitizing Logo expressly disclaims any liability for damaged garments, wasted thread, broken needles, or missed production deadlines caused by bypassing the sew-out phase, utilizing incorrect stabilizers, improper hooping techniques, improper thread tensions, or machine malfunctions.

11. Refunds & Cancellations

11.1 Custom Digital Goods

Because our Services involve the creation of bespoke digital commodities tailored to your specific instructions, our refund policy is strictly conditional. Labor cannot be recovered once rendered.

11.2 Eligibility for Refunds

A full or partial refund may be granted only under the following circumstances: (a) The order was canceled by the Client before any processing or drafting began; (b) We are completely unable to fulfill the technical requirements of the order; (c) The final design contains catastrophic structural errors made by Digitizing Logo that we are unable or unwilling to fix through revisions.

11.3 Strict Non-Refundable Scenarios

No refunds will be issued if: (a) The Client provided the wrong artwork or incorrect dimensions; (b) The Client simply changed their mind or the end-customer canceled the physical order; (c) The Client skipped the test-stitch phase and damaged garments; (d) The Deliverable has been successfully downloaded and utilized.

12. Intellectual Property & Copyright Representation

12.1 Client Warranties

When submitting Source Artwork to Digitizing Logo, you represent, warrant, and guarantee that you are the lawful owner of the intellectual property, or that you have secured the explicit, legally binding licensing or permission to reproduce, digitize, and distribute the trademarked or copyrighted material.

12.2 Company's Limited License

By providing us with artwork, you grant Digitizing Logo a limited, non-transferable, royalty-free license strictly to view, modify, digitize, and convert the artwork for the sole purpose of fulfilling your service request.

12.3 Indemnity Regarding IP Claims

Digitizing Logo operates purely as a technical conversion service and does not act as a legal clearinghouse for intellectual property. If a third party pursues legal action against Digitizing Logo claiming that a Client's order infringed upon their trademarks or copyrights, the Client agrees to fully indemnify, defend, and hold Digitizing Logo harmless against all legal fees, damages, and settlements.

13. Confidentiality & Non-Disclosure

We recognize that many of our clients are B2B entities, promotional product distributors, and agencies operating under strict NDAs with their own clients.

Digitizing Logo agrees to treat all submitted Source Artwork, subsequent Deliverables, client lists, and communication strictly as confidential information. We will not publish your bespoke digitized files to our public portfolios, resell your custom digitized files to third parties, or bypass you to contact your end-clients directly.

14. Limitation of Liability

To the absolute maximum extent permitted by applicable law, in no event shall Digitizing Logo, its directors, employees, or contractors be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages.

This includes, without limitation, lost profits, lost revenues, loss of data, garment replacement costs, or other damages arising from your use of the website or our Deliverables. Even if we have been advised of the possibility of such damages, our maximum liability shall be strictly capped at the total amount paid by you to Digitizing Logo for the specific order giving rise to the claim.

15. Force Majeure

Digitizing Logo shall not be held liable or deemed to be in default under these Terms for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control. This includes, but is not limited to, internet failures, computer equipment failures, telecommunication equipment failures, power blackouts, strikes, labor disputes, natural disasters, severe weather, governmental actions, or pandemics.

16. Third-Party Links & Tools

Our platform may contain links to third-party websites or utilize third-party plugins (e.g., payment gateways, live chat software). Digitizing Logo has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Accessing third-party resources is entirely at your own risk.

17. Severability & Waiver

If any provision or part of a provision of these Terms & Conditions is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions.

The failure of Digitizing Logo to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

18. Modification of Terms

Digitizing Logo reserves the right, at our sole discretion, to modify, amend, or replace these Terms & Conditions at any time without individualized notice. The most current version will always be posted on this page with the updated effective date.

It is your responsibility to periodically review these Terms. Continued use of our website or services following any posted changes constitutes your acceptance of those changes.

19. Governing Law & Dispute Resolution

These Terms & Conditions, and any disputes arising out of or related to your use of Digitizing Logo services, shall be governed by and construed in accordance with standard international trade law and the local laws applicable to the operational headquarters of Digitizing Logo, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts having jurisdiction over our business location, and you irrevocably submit to the exclusive jurisdiction of such courts.
